QB SPACES COWORKING SERVICE AGREEMENT TERMS AND CONDITIONS OF USE
ACCEPTANCE OF TERMS
DESCRIPTION OF SERVICES
QBspaces Coworking may provide you with access to office space, workstations, Internet access, office equipment, conference space, knowledge resources, and other services as the QBspaces Coworking may provide from time to time (collectively, “Services”). The Services at all times are subject to the TOU.
NO UNLAWFUL OR PROHIBITED USE
You will not use the Services for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the Services in any manner that could damage, disable, overburden, or impair any QBspaces internet connection, or the network(s) connected to any QBspaces Coworking server, or interfere with any other partyʼs use and enjoyment of any Services. You may not attempt to gain unauthorized access to any Services, or accounts, computer systems or networks connected to any QBspaces Coworking server or to any of the Services, through hacking, password mining or any other means.
You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Services, nor should you post or download files that you know or should know are illegal or that you have no rights to.
You hereby represent and warrant that you have all requisite legal power and authority to enter into and abide by the terms and conditions of this TOU and no further authorization or approval is necessary. You further represent and warrant that your participation or use of the Services will not conflict with or result in any breach of any license, contract, agreement or other instrument or obligation to which you are a party.
USE OF SERVICES
You agree that when participating in or using the Services, you will not:
Use the Services in connection with contests, pyramid schemes, chain letters, junk email, spamming, or any duplicative or unsolicited message (commercial or otherwise);
Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others;
Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, obscene, indecent or unlawful topic, name, material or information on or through QBspaces Coworking servers, notice boards, events or QBspaces Coworking spaces;
Upload, or otherwise make available, files that contain images, photographs, software or other material protected by intellectual property laws, including, by way of example, and not as a limitation, copyright or trademark laws (or by rights of privacy of publicity) unless you own or control the rights to that or have received all necessary consent to do the same;
Use any material or information, including images or photographs, which are made available through the Services in any manner that infringes any copyright, trademark, patent, trade secret, or other proprietary rights of any party;
Upload files that contain viruses, Trojan Horses, worms, time bombs, cancelbots, corrupted files, or any other similar software or programs that may damage the operation of anotherʼs computer or property of another;
Download any file(s) that you know, or reasonably should know, cannot be legally reproduced, displayed, performed, and/or distributed in such manner;
Restrict or inhibit any other user from using and enjoying the Services;
Harvest or otherwise collect information about others, including email addresses, without the authorization or consent of the disclosing party;
Violate any applicable laws or regulations;
Create a false identity to mislead others.
A key-holder is deemed to be any person who takes possession of keys to the QBspaces Coworking.
Keyholders acknowledge and accept responsibility for the security of the doors and spaces they access. The key-holder is expected to secure the space when either they believe they are the last person on the premises or any time.
Access is granted to active renters/members for office space and the internet. Additionally, active members will have access to meeting rooms, events, spaces, and other pay-for spaces and services.
You will not grant access, lend keys, share passwords/logins or give codes to anyone. You will not allow nonmembers to enter or use the space unless accompanied by a member.
You are financially and legally responsible for your guests’ actions at all times. You will not attempt to gain unauthorized access to the physical area or network assets.
You acknowledge and agree that during your participation in and use of the Services you may be exposed to Confidential Information. “Confidential Information” shall mean all information, in whole or in part, that is disclosed by the QBspaces Coworking or any participant or user of the Services or any employee, affiliate, or agent thereof that is nonpublic, confidential or proprietary in nature
INVOICING AND PAYMENT
The member is automatically invoiced monthly in advance based on their membership option.
Also included are any variable charges such as extra meeting room usage that may have been incurred during the previous period.
Payment is required at the beginning of the month for that period at the date specified in the invoice.
Payment for casual usage, for example, day-use or meeting use is paid on the day of use unless other arrangements have been made with QBspaces Coworking.
Once the payment for a period of time is done, no refunds are possible.
In case of renewal of the services, these terms and conditions are automatically renewed with the consent of each party.
RENEWALS AND TERMINATIONS
QBspaces Coworking reserves the right to terminate any Service at any time, and especially immediately if you fail to comply with the TOU.
In the event of a member termination initiated by QBspaces, a prorated refund will be given based on the number of days of the months used at the time of termination divided by the member’s billing that months. No refunds will be given to members who are terminated for non-payment. Members may terminate their membership starting the following month at any time with notice. A notice must be given in writing to firstname.lastname@example.org. Fifteen business days in advance of the end of the month.
PARTICIPATION IN OR USE OF SERVICES
You acknowledge that you are participating in or using the Services at your own free will and decision. You acknowledge that the QBspaces Coworking does not have any liability concerning your access, participation in, use of the Services, or any loss of information, loss from theft or damage of personal property on its premises, resulting from such participation or use. You are liable for the full cost of any damages caused by you to any property in the space, owned either by the QBspaces Coworking or its members.
All renters/members and guests have the right to quiet enjoyment and any behavior that breaches this will not be condoned. You will not defame abuse, harass, stalk, threaten or otherwise violate the legal rights of others. This is an open space shared by many different peoples and organizations. Anything said should be expected to be heard by others.
The following are prohibited activities that may not happen inside the space, in conjunction with our services or on the property. To include, but not limited to:
Smoking, drug use
Keep, store, or bring in any flammable or hazardous materials.
Publish, post, upload, distribute, or disseminate any inappropriate, profane, defamatory, obscene, indecent or unlawful topic, name, material or information on or through servers or in our space.
Bring any pets onto the Premises, unless you have a specific need for visual assistance.
Use cellular phones or other communication devices in a manner that will be disruptive to other renters/members.
Photo, video, and audio
Members now grant permission to use their likeness in a photograph, written works, video, and audio or other digital reproduction in any of its publications, including website entries. Members further permit for use of images in any of its publications, including website entries, products, web properties, videos, and other marketing materials. Members understand and agree that these materials will become the property of and will not be returned. Members hereby irrevocably authorize QBspaces Coworking and associated parties to edit, alter, copy, exhibit, publish, sell, license or distribute photos, videos, written works, audio including uses in commercial and revenue generation or for any other lawful purpose. Additionally, Members waive any right to royalties or other compensation.
If any provision or a portion of this TOU is determined to be invalid, illegal or unenforceable for any reason, in whole or in part, the remaining provisions of this TOU shall be unaffected thereby. They shall remain in full force and effect to the fullest extent permitted by applicable law.
As a renter/member, you are not required but it is strongly suggested that you carry a Renters Insurance policy to cover your own equipment while using our space. That policy may cover your current residence/office, as well as the premises of the QBspaces Coworking.
INSPECTION AND MAINTENANCE
QBspaces may need to enter your premises and may do so at any time. However, unless there is an emergency, QBspaces will attempt to notify you verbally or electronically in advance when QBspaces need to access to carry out testing, repair or works other than routine inspection, cleaning, and maintenance. QBspaces will also endeavor to respect reasonable security procedures to protect the confidentiality of your business.
LIABILITY AND DISCLAIMER
QBspaces will not in any circumstances have any liability for loss of business, loss of profits, loss of anticipated savings, loss of or damage to data, third party claims or any consequential loss.
QBspaces shall not be responsible for any loss, damage, corruption of data or any loss of information, whether from hardware, software or internet damage that may occur to you during the term of this agreement. QBspaces shall not be responsible for any loss, damage, or loss of information resulting from communications or data failure, including voice, communication, and the internet.
Subject to gross negligence and deliberate misconduct, QBspaces is not liable for any loss as a result of QBspaces failure to provide a service as a result of a mechanical breakdown, strike, termination of QBspaces interest in the building containing the Spaces or otherwise.
Any delay or failure in the performance QBspaces Coworking hereunder shall be excused if and to the extent caused by the occurrence of Force Majeure. For purposes of this agreement, “Force Majeure” shall be defined as any circumstance not within the reasonable control of QBspaces despite the exercise of reasonable diligence; conditions to include but not limited to: fire, flood, acts of God, hurricanes, riots, vandalism or theft.
Civil Courts of the city in which QBspaces Coworking is located shall have exclusive jurisdiction in the event any disputes or differences arise in respect of, out of, relating to and/ or touching this Agreement. This agreement is interpreted and enforced in accordance with the law of the place where the relevant QBspaces Coworking is located.
acknowledgment and Acceptance
I hereby acknowledge that I have read and understood all of the terms and conditions contained in this TOU and further agree to be bound to the TOU regarding my participation in and use of the Services.
As a key-holder, I have read and understood the terms relating to building security in this TOU and further agree to be bound to the TOU regarding my responsibilities as a key-holder.
